BY-LAWS



ARTICLE I
Purpose and Means

Section 1:
The fundamental purposes for which the Montgomery C. Meigs Chapter (henceforth referred to as the "Chapter") is formed are to:

(a) Foster appreciation for and study of the history and traditions of the United States Army Engineers and understanding of their historical roles and contribution to the development and defense of the nation;

(b) Assist in raising and maintaining at a high level, through educational and charitable activities, the esprit of all present and former members of the U.S. Army Engineers and of the U. S. Army Corps of Engineers, military and civilian;

(c) Provide educational opportunities for individuals and support scholarly research; and

(d) Conduct its operations exclusively for charitable, educational and scientific purposes in accordance with applicable laws and regulations.

Section 2:
Means to achieve the purposes are to cooperate with the Army Engineer Association in its overall goals and objectives to:

(a) Preserve, perpetuate and fund museums, displays and publications dealing with the history and traditions of the United States Army Engineers;

(b) Recognize those individuals and organizations that have contributed to the skill and professionalism of the U.S. Army Engineers and their role in developing the nation and its military leaders;

(c) Foster the U.S. Army Engineer regimental and historical systems;

(d) Conduct meetings, outings, and other activities to educate members and the public about the history and activities of U.S. Army Engineers and the U.S. Army Corps of Engineers.

(e) Engage in or sponsor historical research and cooperate with accredited educational institutions, veterans associations and other organizations in furtherance of its objectives and shall publish, ensure the publications of, or cause to be disseminated historical information relative to the U.S. Army Engineers;

(f) Support other organizations, private or public, which have similar objectives;

(g) Develop and manage funds to achieve these goals.

Section 3:
The target audience for chapter activities will be active and retired Army Engineers and civilian employees of the U. S. Army Corps of Engineers and related agencies.



ARTICLE II
Membership in the Association and Chapter

Section 1 -- Association Membership and Dues:
Member dues are paid by the individual or organization as a requirement for membership. Terms of membership are one, two and three year duration. Dues amounts are set by the Association and are subject to change. The Chapter will not assess further dues or fees from members.

Section 2 -- Chapter Membership:
Association Members in the Chapter area prior to April 30, 1995 will be given the opportunity to become members of the Chapter. Those who join afterwards will be members of both the Chapter and the Association.

The area of the Montgomery C. Meigs Chapter includes the District of Columbia; the counties of Arlington, Fairfax, Prince William, Stafford, Fauquier, and Loudon and the cities of Alexandria, Fairfax, Falls Church, and Vienna in Virginia; and Montgomery, Prince Georges, Anne Arundel, Frederick, Howard, Baltimore, Charles, Calvert, and St. Marys counties and the City of Baltimore in Maryland. Any member living outside the Chapter area may request membership in the Montgomery C. Meigs Chapter. An Association member may not belong to more than one Chapter.



ARTICLE III
Finances

Section 1 -- Source:
Funds to support Chapter operation are provided in the form of dues rebates from the Association that are provided to the Chapter as a result of members of the Association residing within the chapter region. The Association will provide the Chapter with $1.00 each for every Association member electing Chapter membership.

After 1 May 1995, the Association will return $1.50 for every new one-year member, $2.00 for every two-year member and $2.50 for every three-year member gained by the Chapter, and $50.00 for each local supporting firm member of the Chapter.

Funds will be disbursed to in accordance with the policies and procedures of the Association.

Additional fund-raising activities may be utilized as directed by the Executive Board to support the Chapter purposes.

Section 2 -- Fiscal Year:
The fiscal year shall begin January 1 and end 31 December of each year.

Section 3 -- Use of Funds:
Chapter funds that are accumulated resulting from dues rebates described above may be used to support Chapter operations. There are no limitations on how these funds may be expended; however in each instance expenditures will be directly related to the purposes of the Association. The Treasurer may disburse moneys up to $100.00 for normal expenditures without Executive Board approval. Any amount over that must be pre-approved by a majority Executive Board vote.

The Treasurer of the Chapter will be assigned responsibility to account for accumulated funds and expenditures according to Executive Board-approved accounting procedures. The Chapter Executive Board is ultimately responsible for ensuring proper use of accumulated funds.

Section 4 -- Financial Reporting:
The Chapter will present, as a minimum, for approval a financial report to the Executive Board at each quarterly meeting or as directed by the President. At a minimum, it will include account balances, accounts due, dispersals, and any new obligations incurred by the Chapter.

Additionally, an annual financial report will be sent to the Association by the last working day of each January for the previous year. The report will include as a minimum: funds accumulated and on hand, funds expended by category in the previous year, and planned expenditures for the upcoming year and property on hand valued at cost. The Association may require more frequent accounting reports if conditions warrant.



ARTICLE IV
Chapter Governance

Section 1 -- Executive Board:
The Chapter will be governed through an Executive Board consisting of a President, a First Vice-President, a Vice-President for Programs, a Vice-President for Membership, the Vice-President for Publicity, a Secretary, and a Treasurer. Officers of the Chapter may be any Chapter members.

Officers will be nominated by a nominating committee appointed by the President. They will be elected by majority vote of the members present at a membership meeting.

Officers shall serve one year terms of office and may be re-elected.

Section 2 -- Powers:
These Bylaws provide for the powers of the Executive Board and Chapter officers.

Section 3 -- Duties of Officers
The President is the senior Officer of the Chapter and presides over Executive Board and Chapter meetings and other functions. The President is ultimately responsible for the proper use of funds.

The First Vice-President performs the duties of president in the absence of the President and will otherwise serve as directed by the President.

The Vice-President for Programs will arrange the venue and program for regular membership meetings.

The Vice-President for Membership will recruit new members and keep the membership list.

The Vice-President for Publicity will publicize chapter activities through the Chapter Newsletter and the local media.

The Secretary will maintain written records of meetings and other administrative matters as determined by the President.

The Treasurer will maintain financial records and account for and disperse Chapter funds. Accounting practices approved by the Executive Board will be used in coordination with the policies and procedures of the Association.



ARTICLE V
Meetings and Special Activities

Section 1 -- Meetings:
The President and Executive Board will establish the frequency of Chapter meetings; however, as a minimum one general membership meeting will be held each quarter.

Section 2 -- Agenda:
The agenda and meeting topics will be established and publicized in advance to the general membership.

Section 3 -- Record of Meetings:
Minutes of meetings will be kept for Chapter use. The Chapter will provide the Association with a written annual summary of Chapter meetings and activities before the end of January for the prior year's meetings.

Section 4 -- Rules of Order:
The general procedure of meetings will be consistent with the principles set forth in the current edition of Robert's Rules of Order. The President or person appointed by the President will preside at all meetings.

Section 5 -- Special Activities
These activities require the approval by majority vote of the Executive Board and may be nominated by any Chapter member.



ARTICLE VI
Publications and Awards

Section 1 -- Publications:
The official publication of the Association is The Corps Heritage Magazine. The official publication of the Chapter will be the Newsletter. The President may authorize supplemental publications for the Chapter as required.

Section 2 -- Awards:
The Chapter may establish a special Chapter awards program to supplement the Association awards program. Chapter awards will be financed from accumulated Chapter funds.



ARTICLE VII
Amendments To The Chapter By-laws
And Chapter Dissolution

Section 1 -- Amendments:
The Chapter By-laws may be amended in accordance with the procedures of Article VII of the Charter. Approval of amendments will be sent to the Association for confirmation.

Section 2 -- Dissolution:
Procedures for the dissolution of the Chapter are included in Article VIII of the Charter.
