CONSTITUTION AND BYLAWS

OF THE MONTGOMERY C. MEIGS CHAPTER

CONSTITUTION



ARTICLE 1
Name and Authority

Section 1:
This organization shall be called the Montgomery C. Meigs Chapter of the Army Engineer Association (AEA). The AEA is referred to in these documents as the "Association."

Section 2:
The Chapter is established as a Type Three private association under the provisions of AR 210-1 and its supplements, and conforms to the following as appropriate:

(a) That programs and activities conducted do not prejudice or discredit the military service or other agencies of the United States government.

(b) That activities will not be conducted in the name of the installation or any organization of the U.S. Army establishment.

(c) That neither the U.S. Army nor a non-appropriated fund as defined in AR 210-1 shall assert claim to the assets of the Chapter; nor shall the U.S. Army or any non-appropriated fund incur any obligation on behalf of or assume any obligation of the Chapter.

(d) That the Chapter will not engage in activities that are in conflict with authorized activities or non-appropriated funds defined in AR 210-1.

(e) That the Chapter is self-sustaining and receives no support from the U.S. Army or from defined non-appropriated funds in AR 210-1 and its supplements except as defined in AR 215-1 and AR 420-80.

(f) That the Chapter is and shall be a financially self-sustaining, non-governmental organization or association and constituted, established and operated by individuals acting exclusively outside the scope of any official capacity as officers, employees, or agents of the government. The Chapter is not established nor operated pursuant to authority vested in the U.S. Army or any official thereof.

Section 3:
The Chapter will carry no insurance and assumes no liability for the actions or activities of individual members.



ARTICLE II
Membership

Section 1:
Membership in the Chapter shall be voluntary and shall be open to anyone interested in the Army Engineers or the U. S. Army Corps of Engineers.

Section 2:
Membership discrimination based on race, color, sex, religion, or national origin will not be permitted.



ARTICLE III
Administration

Section 1:
The administration of the Chapter shall be in accordance with the approved Charter and Bylaws of the Chapter and other directives under the supervision of the Executive Board.

Section 2:
The Executive Board will consist of the President, the first Vice-President, the Vice- President for Programs, the Vice-President for Membership, the Vice-President for Publicity, the Secretary, and the Treasurer.

Section 3:
The Executive Board shall carry out the purposes and objectives of the Chapter by approving transactions of business in accordance with the approved constitution and established policies, and shall make and enforce such Bylaws as are necessary for governance of the Chapter.

Section 4:
Only elected officers of the Chapter shall be voting members of the Executive Board.



ARTICLE IV
Finances

Section 1:
All non-membership fee revenue-producing activities require prior approval of the Executive Board.

Section 2:
The financial records of the Chapter are subject to an annual review and/or audit by a disinterested person chosen by the Executive board. A letter report will be rendered by the disinterested person to the Executive Board.

Section 3:
The United States Government shall not be liable for any indebtedness incurred by the Chapter.

Section 4:
The Executive Board shall establish a financial recordkeeping process, approve all expenditures in excess of $100.00 for the operation of the Chapter, give after-the-fact approval for expenditures of $100.00 or less, and ensure all disbursements are within the purposes of the Chapter and within budget.



ARTICLE V
Property

The Executive Board shall pre-approve all property acquisitions. The property of the Chapter shall consist of such articles as may properly come into its possession. The property shall be accounted for by the Treasurer or in accordance with sound business practices using AR 215-1 as a guide.

ARTICLE VI
Records

Section 1:
The Secretary will maintain a permanent historical file with the following:

(a) Original Charter with all current revisions.

(b) Original By-laws with all current revisions.

(c) Records of approvals of Charter and Bylaws, all amendments, approval of all revenue-producing activities, and approval of all property acquisitions.

(d) Minutes of all meetings.

The Vice-President for Membership will maintain a current list of members with addresses.

The Treasurer will maintain the Chapter bank accounts, supporting fiscal records, and property records specified by the Executive board. A quarterly fiscal and property status report will be provided to the Executive Board.

Section 2:
All records of the Chapter, excluding permanent files and the uncompleted check book, will end each fiscal year on December 31 and be held for three (3) years before destroying. Fiscal and property records will be maintained for seven (7) years.



ARTICLE VII
Amendments To Charter and By-laws

Section 1:
As directed by the Executive Board, notice of amendments to the Charter must be mailed to the general membership thirty (30) days prior to a general membership meeting at which the amendments will be voted.

Section 2:
Approval of amendments of the Charter require a majority vote of all members present at a general membership meeting.

Section 3:
Bylaws may be amended by a majority vote of the Executive Board at a duly constituted meeting of the Board. Any proposed By-law amendment by a member of the Board must be in writing and mailed to all members of the Board in advance of the meeting at which the amendment is to be considered.



ARTICLE VIII
Procedure Upon Dissolution

Upon vote to dissolve the Chapter by a majority of the general membership present at a scheduled meeting, the funds of the Chapter, all residual assets and properties (after payment of liabilities), shall be transferred to the Army Engineer Association business office at Ft. Leonard Wood, Missouri, in a manner consistent with all state and local laws.
