Agreement made this_______day of ________________________,____________, by and between the MUFD SPORTSMAN COMMITTEE an agent for the Mount Union Fire Company No. 1 (Consignor) and

___________________________________________________________________________________________ (Customer).

1. Customer acknowledges receipt of tickets for the Fall Bash drawing (September 1, 2007). Consignor will from time to time ship tickets as ordered by Customer.

2. The Customer, at its own cost and expense, agrees to use its best efforts to sell the tickets for the Consignor on cash terms, and at such price as set by Consignor, and at no lesser or greater price.

3. The Customer agrees, upon sale, to maintain proceeds due Consignor in trust, and deliver such proceeds to Consignor.

4. The Customer agrees to accept a commission equal to one (1) free ticket for every ninety-nine (99) tickets sold.

5. Customer acknowledges that title to the goods shall remain with Consignor until goods are sold.

6. Risk of loss of the goods shall be the responsibility of Customer while said goods are within its possession.

7. Either party may be terminated this agreement, in writing, at any time. Within 10 days of termination, Customer will forward all monies due and all unsold tickets to Consignor.

8.  All monies due and all unsold tickets must be returned to Consignor no later than July 31, 2007.

9.  Customer does acknowledge responsibility for any and all attorneys/collection fees which may be incurred by Consignor in the collection of all monies and/or unsold tickets and agrees to pay the same.

10.  Customer does acknowledge and agree that any and all legal actions pertaining to any part of this agreement will be litigated in Huntingdon County, Pennsylvania.

11. This agreement is not assignable and shall be modified only in writing.

12. This agreement shall be binding upon and inure to the benefit of the parties, their successors, assigns and personal representatives.

13. Consignor acknowledges that they have the authority to negotiate and sign this agreement.

14. If any clause is determined to be unenforceable then the remaining clauses are in total still enforceable.
