Article I Purpose:

To coordinate a working relationship between MABAS Division 41 members, and the

State wide MABAS organization. Provide for the effective and efficient provisions of

mutual aid, training and education.

Article II Participation:

A. Each city, village, fire protection district, or other unit of local government within MABAS

Division 41 which provides fire protection or emergency medical service is eligible for

membership. The members of MABAS Division 41 may allow other emergency agencies

or organizations to become members upon a majority vote of a regular scheduled meeting

that meets the quorum. The dues requirement for “Associate Members” shall be the same

as MABAS Division 41member departments.

B. Participation shall be contingent upon the adoption of an ordinance authorizing

membership in MABAS, the execution of MABAS contract, and the payment of such

sums and under such conditions as set forth in these By-laws which shall be established by

a majority vote of the members of Division 41.

Article III Organization

A. Membership

Membership shall consist of the Fire Chief, or their alternate, from each local government

approved for participation.

B. Meetings

1. Six regular scheduled meetings to be held annually, approximately two months

apart. Additional meetings to be called by the President or by a majority vote of the

MABAS Division 41 members. Meetings will be held on the odd numbered months

on the 3rd Thursday starting at 7:00 PM.

2. Where not otherwise specified in these By-laws, “Roberts Rules of Order” shall

govern the conduct of business of all MABAS Division 41 meetings.

3. The failure to hold a meeting at the time designated in these by-laws shall not in

anyway cause dissolution of MABAS Division 41.

4. Meetings will open with roll call and each department will report number of

members present, number of alarms and MABAS calls since the last meeting.

5. No alcoholic beverages or controlled substances will be permitted during any

MABAS Division 41 meeting, training, or other function.

C. Voting / Elections

1. A quorum shall be 25% of the member departments in MABAS Division 41.

2. Each member department shall have only one vote which can be cast by the Fire

Chief, or their alternate, if an alternate has been designated in accordance with

Article III, Section D (5).

3. The officers of the Division shall not vote except when casting a vote for

their member department.

4. When a member department is delinquent on their annual dues payment of over 60

days they shall no longer have voting rights.

5. A slate of officers will be presented at the January meeting. Nominations may be

accepted from the floor during the November meeting but must be made from a

member department. Each nominee must be present to accept their nomination or

have sent a letter to the President stating they will accept a nomination. This letter

must be received prior to the January meeting.

6. No more than one officer may be from the same department.

7. No more than one committee chairperson may be from the same department.

8. No “Associate Member” shall have voting rights or be eligible to hold office.

9. The President, Vice-President, Secretary, and Treasurer shall serve a term of two

years. The President and Vice President may not succeed themselves consecutively

in the respective offices which they hold.

10. Elections shall be on odd numbered years for the President and Vice President each

will serve a two year term.

11. Elections shall be on the even numbered years the Secretary and Treasurer and

will serve a two year term.

12. Elections for 3 Trustee positions shall be a 3 year term. Terms shall be staggered

with one Trustee being elected every year.

13. The persons occupying the positions of President, Vice-President, Secretary,

Treasurer, and Trustees automatically vacate those positions upon resignation,

death or if no longer serving with their member department.

D. Duties of Members

1. Establish operational guidelines for MABAS Division 41.

2. Adopt the annual budget for MABAS Division 41.

3. Authorize any officer or agent to enter into any contract or execute and deliver any

instrument within the purpose of MABAS Division 41 in the name of and on behalf

of MABAS Division 41.

4. Authorize any officer or agent to sign checks or other orders for payment of money,

notes or other evidence of indebtedness issued in the name of MABAS Division 41.

5. Each Chief may designate in writing one or more alternates who may represent the

member department in the absence of the Fire Chief. Said designation must be filed

with an Officer of MABAS Division 41 prior to recognition.

6. A President, a Vice-President, a Secretary, Treasurer and 3 Trustees shall be

elected.

E. Duties of the President

1. Shall administer the affairs of MABAS Division 41.

2. Represent the MABAS Division 41 to the State MABAS Executive Board.

3. May sign any instrument authorized by the membership to be executed.

4. Shall preside as Chairman at all meetings of MABAS Division 41 and perform all

duties incidental to the role of President.

F. Duties of the Vice-President

1. Shall perform all the duties of the President when the President is absent.

2. The Vice-President shall have the authority to sign checks.

G. Duties of Secretary

1. Shall keep full minutes of the proceedings at all MABAS Division 41 meetings.

2. Shall maintain all the records and correspondence of MABAS Division 41 and

deliver same to his/her successor within ten days of leaving office.

3. Shall take attendance of member departments at regular meetings.

H. Duties of Treasurer

1. Shall be responsible for the custody of all the assets of MABAS Division 41.

2. All monies of MABAS Division 41 shall be deposited by the Treasurer in a

chartered bank, approved by the MABAS Division 41 members.

3. Shall make a complete report at all regular meeting detailing expenditures and

incomes and the balance in the treasury.

4. Shall supervise the collection and disbursement of all funds and shall disburse such

funds in accordance with the MABAS Division 41 By-laws.

5. Shall maintain all the financial records of MABAS Division 41 and deliver same to

his/her successor within ten days of leaving office.

I. Duties of the Trustees

1. The Trustees shall be made up of three elected members.

2. Shall prepare a slate of officers prior to the January scheduled meeting.

3. Insure the financial records of the Treasurer are audited.

4. Insure the financial records are sent to a Certified Public Accountant annually to

certify the audit.

Article IV Property and Equipment

A. All property and equipment acquired by MABAS Division 41 shall be owned in common

by said members of MABAS Division 41 unless otherwise determined in writing by the

parties. Said equipment may be borrowed by any member subject to the equipment loan

policies of the Division. All installation, maintenance and repair orders for MABAS

Division 41 equipment shall be directed through MABAS Division 41. Any member may

at any time loan property or equipment to MABAS Division 41 for use by its members.

Such property or equipment shall continue to be owned by and issued by the loaning party.

B. The purchase or acquisition of real property by or in the name of MABAS Division 41

shall require the approval of a majority of the members of MABAS Division 41 members.

C. Upon resignation from MABAS Division 41, expulsion or dissolution of the unit of local

government, a member shall forfeit all right, title and interest to any or all property owned

jointly by MABAS Division 41 members. Associate members shall not have any rights to

property of MABAS Division 41.

Article V Finances

A. The fiscal year for MABAS Division 41 begins January 1 and ends each December 31.

B. Annual dues will be collected from each member department in an amount which will be

established each fiscal year by a vote of the membership.

C. An annual budget shall be developed by the Officers and Trustees and approved by the

membership.

Article VI Operational Guidelines

A. Procedures as set forth in “MABAS Division 41 Operating Guidelines”.

B. Mutual Aid Box Alarm System, General Operating Procedures, when approved and shall

be come part and parcel of these By-laws.

C. Operational Guidelines shall be reviewed annually by the Operational Guidelines /

Deployment Committee.

Article VII Committees

A. The following standing committees are established, each of which will be chaired by a

member of MABAS Division 41 appointed by the President, with the consent and approval

of the membership.

1. Technical Rescue

2. Hazardous Materials

3. Safety and Communications

4. Mass Casualty

5. Emergency Medical Services

6. Operating Guidelines / Deployment

7. Funeral

8. Training / Education

B. Ad hoc committees will be established on the request of a majority of the members, with a

chairman and committee members appointed by the President with the consent and

approval of the membership.

C. All committees shall provide a written report at the regular meeting.

D. Terms shall be a maximum 4 years on the same committee.

E. Each committee shall consist of at least 3 and no more than 7 members of which one will

serve as chairperson. You may serve as chairperson of only 1 committee at a time.

Article VIII Expulsion, Withdrawal

A. Voluntary Withdrawal; Any member may terminate its participation in the MABAS

Division 41 at any time, provided that the member wishing to terminate its participation

shall give written notice to the President of MABAS Division 41 specifying the date of

termination, such notice to be given at least 90 calendar days prior to the specified date of

termination of the participation. The written notice provided herein shall be given by

personal delivery, registered or certified mail to the President of MABAS Division 41.

B. Expulsion of Members; By a vote of two-thirds (2/3) of the entire membership of MABAS

Division 41, any member may be expelled. Such expulsion, which shall take effect ninety

(90) days after the required vote, may be carried out for one or more of the following

reasons:

1. Failure to make any payments due MABAS.

2. Reduction or elimination of fire suppression or emergency medical capabilities to a

point which places unwarranted burden on one or more members of MABAS

Division 41.

3. Failure to carry out the obligations of a member which impairs the ability of

MABAS Division 41 to carry out its purpose or powers. No member may be

expelled except after notice from MABAS Division 41 of the alleged failure, along

with a reasonable opportunity of not less than thirty (30) days to cure the alleged

failure. The member may request a hearing before the membership before a

decision is made as to whether the expulsion shall take place. The President shall

set the date for a hearing which shall not be less than fifteen (15) days after the

expiration of the tie to cure has passed. A decision by the MABAS Division 41 to

expel a member after notice and hearing and failure to cure the alleged defect shall

be final.

Article IX Definitions;

Associate membership is granted to a personal or an organizational membership granted

by the members of MABAS Division 41 to said person or organization that is interested in

the activities of MABAS Division 41. Such membership will have no voting or motion

making rights. Associate members may attend and participate in all regularly scheduled

meetings and other meetings approved by the membership.

MABAS Division 41 includes fire protection districts, or other unit of local government

within MABAS Division 41 which provides fire protection and emergency medical

service. Which are located with-in or along the boundaries of the counties in which adjoins

the boundaries of McLean county.

MABAS – Mutual Aid Box Alarm System, MABAS is a mutual aid organization that has

been in existence since the late 1960s. MABAS includes over 550 member fire

departments organized within 46 divisions.

Article X Amendments

A. These By-laws may be amended by the agreement of a majority of the MABAS Division

41 members, provided the amendment has been recommended by a majority of MABAS

Division 41 members and submitted in writing to all members. Approved amendments

may be adopted at any meeting of the MABAS Division 41 members.
