CHOOSING THE PROPER FORMATION FOR YOUR BUSINESS
Are you considering forming a California corporation or a California LLC (Limited Liability Company)?
Perhaps you are looking to form a partnership or joint venture agreement. At
the Law Offices of Peter T. Stavropoulos, you are not just another entity formation to us.
Each business has specific needs, and what is good for one business may be unfavorable to another business. Therefore, before forming an entity, we will spend time learning about your business to better assist you
in choosing the right business structure.
Before creating any entity, we can also confer with your
bookkeeper or certified public accountant.
The entity formation process includes:
Determining whether the name you want to use is available,
either as a corporation, LLC, or simply as a fictitious business name (doing business as, or dba) filing;
Filing the appropriate paperwork with the Secretary of
State or county recorder’s office
Preparing the relevant entity records (corporate bylaws
and relevant minutes, LLC operating agreement, Partnership agreement, and the like)
If necessary, drafting and filing the “S”
corporation (Form 2553) election
As a corporation or LLC, you will also receive a kit
containing the incorporating documents, along with certificates of membership, any other relevant documents, along with a
multi-page memorandum that discusses aspects of your new entity
Additional services include:
Federal and/or California trademark registration to further protect your
business name
Buy sell agreements
Agent for Service of Process
Statement of Information Filing
