·        Assist client in choice of entity and business entity formation (corporation, L.L.C., partnerships, joint venture agreement, and the like)

·        Negotiate, draft and modify buy-sell agreements, business entity records, entity dissolution documents, and many others

·        Review and negotiate franchise documents

BUSINESS AND EMPLOYMENT LAW

·        Advise and defend clients in trade secret, unfair practice claims

·        Draft business agreements such as independent contractor agreements, distribution agreements, non-disclosure and trade secret agreements

·        Negotiate sale and purchase of business, including drafting related documents

·        Asssist client in protecting business proprietary information and name, including filing trademark applications for business name or service mark

·        Assist client in hiring and firing employees

·        Advise and defend wrongful termination, harassment, and discrimination claims

·        Draft employee handbook and manuals

o       assure client is following applicable state and federal laws

o       create equal application of benefits and rights to employees to help prevent lawsuits

COMMERCIAL AND RESIDENTIAL LEASING

·        Draft, modify and review commercial and residential lease and sublease agreements

·        File and litigate landlord/tenant disputes including eviction

·        Negotiate and litigate commercial and residential leasing issues relating to habitability, common area problems, and the like

REAL ESTATE

·        Draft, modify and review commercial real property purchase agreements

·        Counsel client and litigate land disputes, title issues, mechanics liens, real property defect issues

CIVIL LITIGATION

·        Civil litigation relating to the above business entity, business law, and real estate matters

·        Collection and enforcement of judgments

·        Business disputes and fraud

·        Advise and represent clients in mediation, non-binding and binding arbitration
