Constitution
Article 1 - Name
The name of the club shall be the Vienna Sky Sharks Model Airplane Club.
Article 2 - Purpose
Section 1 - The objective of this club shall be to promote model building
and flying in Vienna and general locality, and to aid insofar as possible the National Program of the Academy of Model Aeronautics
and other AMA activities, looking toward the continual advancement of model aviation in the United Sates.
Section 2 - All special and local enterprises of the Vienna Sky Sharks
shall conform to the policies of the Academy of Model Aeronautics, and to the regulations of that organization.
Section 3 - To conduct and operate exhibitions and competitive events to
promote model building and flying.
- To purchase, buy, lease, sell or mortgage real estate and to erect and maintain a clubhouse for the use and comfort
of its members.
- To buy, sell and deal at wholesale and retail model airplanes, parts, supplies, food, and drinks during exhibitions
or contests.
- To train and instruct in the use and enjoyment of model airplane building and flying.
Article 3 - Membership
All persons living in the general area of Vienna shall be eligible to be a member of the Vienna Sky Sharks, provided
they meet certain qualifications prescribed by the club and the Academy of Model Aeronautics, with the exception of members
under 16 years of age, and show proof of interest in model aviation. Each prospective
member shall be required to attend a minimum of two successive meetings during a three month period, prior to his or her acceptance
as a member. It is also recommended that the above mentioned member join the
Academy of Model Aeronautics after six months and it is mandatory that such member belong to the Academy of Model Aeronautics
to participate in any club flying activities.
By-Laws
Article 1 - Officers
The officers of the Vienna Sky Sharks shall be:
A. President
B. Vice-president
C. Secretary
D. Treasurer
E. Senior Advisor (Field Marshall/Safety Officer)
F. A board of directors of (5) members, (all elected officers of the club).
Article 2 - Duties
A. President: The President
shall preside at all meetings of the club and shall act as spokesman for the club in all matters pertaining to it. He shall serve as chairman of the board.
B. Vice-president: the Vice-president
shall act for the President when he is unavailable to serve.
C. Secretary: The Secretary
shall keep the minutes of all the meetings and the attendance roll of such meetings.
He shall provide himself with an official minutes book for this purpose.
He shall keep the records and files of the club.
D. Treasurer: The treasurer
shall keep records of all the Moines received and disbursed by the club.
E. Senior Advisor: The Senior
advisor shall have the duties of the Field Marshall and Safety officer as set forth
by the guidelines of the Academy of Model Aeronautics.
F. The board of directors: The
Board of Directors shall act on all matters of general policy.
Article 3 - Election and Term of Office
Section 1 - All officers of the Vienna Sky Sharks shall serve for one (1)
year from January first to December thirty-first inclusive.
Section 2 - The election of officers shall be held at its annual meeting
and the newly elected officers shall take office on the first day of January following
the annual meeting.
Section 3 - The nominating committee shall be composed of three (3) members appointed
from the membership by the President, and nominations will be made by the nominating committee or by individual members
following the nominating committee’s report at the annual meeting.
Section 4 - The nominating committee shall prepare and send to all members
in good standing, at least three (3) days prior to the annual meeting of the membership, a report recommending at
least one (1) nominee for each off to be filled, having previously obtained consent of nominees to become candidates.
Article 4 - Vacancies
Vacancy in
any office shall be filled by appointment by the board of Directors. Such
appointee will serve to the end of the term which his predecessor was elected.
Article 5 - Meetings
Regular meetings
shall be held at the clubs designated meeting place, and meetings shall be held monthly.
Special meetings of the club shall be at any convenient time, upon call by the board
of directors, the president, or upon call signed by any ten (10) members of the club, provided that any such call shall name
the time and place of such meeting, and shall be issued at least three (3) days in advance of the set date. No notice of regular meetings need be given, except
in the case of annual meetings for the elections as stipulated in Article 3 - section 2. all members in good standing shall
be notified by mail as to these annual meetings one (1) week in advance.
Article 6 - Regular Business
All regular
business affairs and enterprises conducted by the club shall be directed by the President and the board of directors,
except at any time the President may call a special meeting
of the membership to decide on any problem
or business activity.
Article 7 - Dues and Fees
No special
assessment shall be levied upon the club membership at any time except by vote of the membership as a whole, and only
then by a majority vote of 51 percent of the members present at any meeting on the membership.
Article 8 - Special Funds
The treasurer
of the club is authorized to receive contributions or specially obtained
funds from any individual or institution to be applied to the operating
expenses of the club.
Article 9 - Committees
Committees
as required may be named from time to time by the president.
Article 10 –
Resignation, termination, disciplinary action, expulsion and reinstatement of membership
1. Any member
in good standing may resign his/her membership by giving written notice to the Club.
2. If any
member ceases to have the qualification necessary for membership in the AMA, his/her membership in the Club shall thereby
terminate, subject to reinstatement upon restoration of eligibility.
3. This section
provides for enforcement of the Safety Rules that are related to flying activities.
Any other unacceptable behavior by an individual member or members, as defined by the Board of Directors, become the
responsibility of the Board of Directors as stated in Article 1, Duties, Section 1 of these Bylaws. Any individual may be expelled from membership from the Club by a two-thirds (2/3) majority vote of the
Board of Directors if, in the Board of Directors’ determination, such individual willfully commits any act or omission
which is a violation of any of the terms of these Articles of Incorporation and Bylaws, or the Rules of the AMA, or which
is detrimental to the Club, the AMA, or to model aviation
4. Any member
who is expelled from membership may be reinstated to membership only by two-thirds (2/3) majority vote of the Board of Directors.
5. The Board
of Directors shall have the discretionary authority to provide for and to impose disciplinary action for such acts or omissions,
which do not justify expulsion from membership.
Article 11 - Dissolution
1. The Corporation
may be dissolved with the approval of a two-thirds (2/3)-majority vote of the total membership.
2. Upon the
dissolution of the Corporation, the Board shall, after paying or making provision for the payment of all of the liabilities
of the Corporation, dispose of all the assets of the Corporation exclusively for the purposes of the Corporation in such manner,
to the Academy of Model Aeronautics, Inc., or to such other organization or organizations organized and operated exclusively
for charitable, educational, religious or scientific purposes as shall at the time qualify as an exempt organization or organizations
under Section 501(c)(3) of the Internal Revenue Code of 1986, as amended, or to such other organization with purposes similar
to the purposes of this Corporation, as the Board shall determine. Any of such assets not so disposed of shall be disposed of by the Court of Common Pleas (or similar court)
of the county in which the principal office of this Corporation is then located, exclusively for such purposes and to such
organization or organizations, as said court shall determine, which are organized and operated exclusively for such purposes.
Article 12 - grievance procedure (flight and ground
safety rules)
1. Purpose
The grievance procedure provides a mechanism to enforce existing safety rules by providing a progressive disciplinary
system when needed. Although most complaints can be resolved informally, if a
complaint is serious or cannot be resolved informally, the matter should be referred to the Safety Committee for its consideration
by means of a Grievance Form to be filled out and turned into the Safety Committee Chairman.
At least one witness is required to sign the Grievance Form.
2. Safety
Committee
The Safety Committee shall use its judgment in carrying out action on the following:
(a) A grievance form
(see page 7) will be filled out and turned into the Safety Committee Chairman. At
least one witness is required.
(b) FIRST VIOLATION
a. Viewpoints
of both complainants and accused will be considered.
b. Complainant’s
name will be disclosed.
c. A verbal
reprimand will be given to the accused by the Safety Committee, and this will be recorded in the Committee files.
(c) SECOND VIOLATION
a. Complainant’s
name will be disclosed.
b. The accused
has the right to a written rebuttal, to be reviewed by the Committee.
c. If the
Committee so decides, the flying privileges of the accused will be suspended for thirty (30) days. Written notice of this shall be issued and a copy published in the Club newsletter.
(d) THIRD VIOLATION
a. Committee
will notify the accused in writing and the Club members via the Club newsletter that the Club will vote on the expulsion of
the accused at the next meeting.
b. Said expulsion
will last for a one-year minimum. (Longer if deemed necessary by the Board of
Directors).
c.
A member may be expelled from the Club only upon a two-thirds (2/3) majority vote of the membership present at
the meeting.
d. Voting
will be by secret ballot at a regular monthly meeting.
e. The expelled
member may reapply for membership after the expiration of the expulsion time period.
(e) The three actions
will not be enforced unless they are accumulated within a two-year period of time.
(f) Any member
receiving a Grievance, who directs any retaliation action against the person filing said Grievance, will be subject to immediate
expulsion from the Club. This is to include threats, intimidation, physical harm,
intentional equipment damage, or any other action deemed to be retaliatory by the Board of Directors.

Article 13 - Amendments
Amendments
may be made to this Constitution and By-Laws at any general meeting of the club
membership, provided all members in good standing have been notified in writing at least three (3) days in advance that
an amendment is to be considered.
