ARTICLE II - OBJECT The object of this club is to promote and encourage family participation in snowmobiling, and to promote and encourage the safe and responsible use of snowmobiles, and the development of the sport within the state. The club shall be an active participant in the Vermont Association of Snow Travelers (VAST). This club shall be wholly non-profit, and no funds or benefits shall under any circumstances incur to the personal profit of any member. ARTICLE III - ORGANIZATION: The management of the club and it’s affairs shall rest with the Board of Directors, consisting of five (5) members of the club, together with the club President, who shall have full control and management of its affairs and authority to execute all contracts and instruments necessary to carry out the purpose of the club. ARTICLE IV - MEETINGS Section 1. The meetings of the club shall be held on the third Thursday of each month from September thru May, with the annual meeting to be held at the September meeting. The meetings shall be held in the Town of Fletcher at a time and place designated at the annual meeting. Section 2. Printed copies of the Secretary and Treasurer reports shall be presented at the annual meeting, along with the election of Directors & Officers and other business that is properly brought before the meeting. Section 3. Special meetings of the club may be called by the President or Vice President. Section 4. Five (5) club executives and Board of Directors shall constitute a quorum. A simple majority of the votes cast shall be necessary to carry a motion or for an election. A simple majority of the Board of Directors shall constitute a quorum. Section 5. Special meetings of the Board of Directors may be called at the request of any Board member with notice to be given by the President or Vice President. ARTICLE V – OFFICERS Section 1. The officers of this club shall be President, Vice-President, Secretary, Treasurer, and Directors. The officers of this club shall be members of the club and snowmobile enthusiasts. All officers of the club shall be elected by membership at the annual meeting for One (1) year terms. The Board of Directors shall be elected for a Three (3) year term. A vacancy in any office may be filled by the Board of Directors. Resignation from an office must be in written form. Section 2. No member may hold the positions of Officer and Director at the same time. ARTICLE VI - DUTIES: Section 1. The duties of the President are to preside at all meetings of the club, to be a member ex-officio of all committees, to provide active leadership for the club, and to carry out the recommendations of the Board of Directors. Section 2. The duties of the Vice-President are to officiate in the absence of the President, to serve as Chairman of the Board of Directors, and to assist the President in carrying out his duties. Section 3. The duties of the Secretary shall be: To keep an accurate record of all club meetings and activities. To keep and maintain a current record of the club membership. To communicate the schedule of club meetings and activities to the membership. To report on the above at the annual meeting. Section 4. The duties of the Treasurer shall be: To collect such dues and fines as may be levied. To pay club obligations as directed by the Board of Directors. To keep an accurate record of same. To report on the above at the annual meeting. Section 5. (A) The Board of Directors shall appoint a Program Committee to develop a program of club activities for the year, to be presented at the annual meeting, and to determine and inform club members of areas available for club use and activities of interest to club members for their participation. (B) The Board of Directors shall appoint a Nominating Committee to present a slate of officers for vote at the annual meeting. (C) The Board of Directors shall appoint a Trail Master to coordinate the development and maintenance of the club trail system. (D) The Board of Directors shall appoint a representative to attend the Franklin County VAST meetings. (E) The Board of Directors shall appoint such other committees as are necessary to assist them in their duties. ARTICLE VII - MEMBERS: Section 1. Any person desiring membership must be a snowmobile enthusiast, must enjoy snowmobiling as a recreational sport, and pay club dues. Section 2. Club dues shall be voted on at the annual meeting, and shall be sold with a VAST Trail Maintenance Assessment (TMA). ARTICLE VIII - CHARTIABLE CONTRIBUTIONS: Charitable contributions will be limited to snowmobile related activities. ARTICLE IX - PROXY VOTING: There shall be no voting by proxy. ARTICLE X - AMMENDMENTS: Amendments to these By-Laws shall be presented to the membership for action on recommendation of the Board of Directors or by petition of ten (10) members presented to the Secretary in writing and shall be submitted to the membership for action at any duly called meeting following notice in two public places in the Town of Fletcher one week prior to meeting.
