The Terms and Conditions Agreement is between Rainy Days, Rainy Days Online, a Massachusetts online business, and you, the sponsor. 

 

The Sponsor, "You", agree to pay Rainy Days, Rainy Days Online, "Us" the fee of ten dollars per month, billable yearly via PayPal for the use of space on Rainy Days Online website to advertise your business, service or event using a banner that cannot exceed in size of 468x60 pixels, unless specifically granted permission by Rainy Days to do so, subject to the Terms listed below.  You must supply Rainy Days with all requested information related to your business, service or event in order for Rainy Days to peruse and approve your listing.  You must not misrepresent yourself, your business, service or event in order to be listed on the Rainy Days Online website.  Rainy Days has the right to deny any request and/or submittal. 

 

Rainy Days, upon approval, will post your banner on the Home Page of the Rainy Days Online website for thirty days, in conjunction with posting your banner on the "Sponsor's Page" of the Rainy Days Online website and rotating your banner on the following pages, over twelve months time, "Favorite Links", "Ordering Information", "Site Map" and "Visit Franklin County" (if applicable).  If Rainy Days Online needs additional space for advertising Sponsor's banners then new pages will be created and the Sponsor will be notified of the new banner locations.  Sponsor's will be added to each page, on a first-come, first-served basis, meaning that the first Sponsor to accept these terms and pay Rainy Days for posting will appear first on the the above listed pages.  Rainy Days agrees to post banners within seven days of payment and to notify Sponsor with the location of the banner within twenty-four hours of posting.  Rainy Days will bill Sponsor six weeks before the twelve month deadline expires with the opportunity to commence posting for an additional twelve month period, subject to the Terms listed below.                 

 

You are responsible for any and all content that you send to us.

 

You may not publish or supply Rainy Days Online with any material that is harmful to, or will interfere with any other users right to the use of the Rainy Days website.  You may not intentionally harm or solicit minors in any way; You may not submit material that is unlawful, libelous, obscene, fraudulent, abusive, defamatory, vulgar, harassing, harmful, invasive of other's privacy, hateful, ethnically or otherwise objectionable, or is subject to an agreement of confidentiality or infringes upon our or any third party rights including property or other rights; or any non-public information about any company; any trade secret; or any computer code files or programs designed to destroy, compromise, or interrupt the security of or limit the functionality of any device.  You may not misrepresent your own identity or affiliation that you may have; You may not "frame" or "mirror" any part of the Rainy Days website, link to any page from any site without prior written approval from Rainy Days.  You may not misrepresent Rainy Days, it's owners, it's consumers in any way. 

 

Rainy Days Online respects the privacy of every individual who visits our web site.  We do not sell any information (that is, your name, address, telephone number or email address) for any reason and only publish the information you ask us to.

 

By listing your business, service or event on Rainy Days Online, you give Rainy Days discretionary permission  to edit the content of your listing as we deem appropriate. 

 

Rainy Days has the authority to check the validity of your business, service or event.

 

Rainy Days may, at any time, deny or revoke listings for any of the following reasons:  (1) The listing does not meet the expressed theme of the Rainy Days Online website.  (2) The listing contains offensive or inappropriate content.  (3) The reputation of the listing agent fails to meet general good business practices or standards.  (4) Failure to secure payment of our services., or) Other reasons not expressly mentioned above. 

 

Upon the denial of removal of a listing, Rainy Days will not return payment for canceled or removed ads.  Rainy Days can make no guarantee as to the success of your business, service or event as a result of listing on the Rainy Days Online website. 

 

Rainy Days cannot be held liable for misrepresentation in content given by an employee or representative of your business, service or event.

 

In no event will Rainy Days, its suppliers, or other third parties mentioned at this site be liable for any damages, whatsoever (including, without limitation, those resulting from lost profits, lost data, or business interruption) arising out of the use, inability to use, or the results of use of the site, any web site linked to this site, or the materials or information contained at any or all such sites, whether based on warranty, contract, tort or any other legal theory and whether or not advised of the possibility of such damages.  If your use of the materials or information from this site results in the need for servicing, repair or correction of equipment or data, you assume all costs thereof.  Applicable law may not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you.       

 

Rainy Days may revise these Terms at any time by updating this posting.  You should visit this page from time to time to review the then-current Terms because they are binding on you.  Certain provisions of these Terms may be superseded by expressly designated legal notices or terms located on particular pages on the Rainy Days Online website.
