BYLAWS OF THE RICHMOND AREA DAYLILY SOCIETY

Article I - Name

The name of this organization shall be the Richmond Area Daylily Society (RADS). These Bylaws and any amendments thereto shall be kept in the possession of the Treasurer. Copies of said Bylaws shall be maintained by the President and by the Recording Secretary. Copies of these Bylaws and a manual of the parliamentary authority shall be made available by the Secretary to the members at every business meeting.

Article II - Purpose

The Richmond Area Daylily Society is a non-profit organization. The following purposes are expressly limited so that RADS qualifies as an exempt organization (in accordance with the applicable sections of the U.S. Internal Revenue Code Section 501 (c) (3) dated 1954 or the corresponding provision of any future U.S. Internal Revenue Law):

Section 1: To support educational and scientific research related to the genus Hemerocallis in conjunction with the objectives of the American Hemerocallis Society (AHS).

Section 2: To promote, encourage, and foster interest in and proper cultivation and improvement of the genus Hemerocallis.

Section 3: To provide a varied program of horticultural and social events for the enjoyment, education, and advancement of its members and the public.

Section 4: To encourage membership in the American Hemerocallis Society and actively seek affiliation with AHS.

Article III - Membership

Section 1: Membership in the Richmond Area Daylily Society shall not be limited in number and shall be open to any person or organization who is interested in the objectives of the Society, adheres to the Bylaws, and promptly pays the appropriate dues.

Section 2: The dues of the Richmond Area Daylily Society shall be $5 per year for an individual and $8 per year for a family. A family shall be defined as two adults living at the same address and their children under the age of 18.

Section 3: The Business and fiscal year of the Society shall be the calendar year. Dues shall be paid by January 1, but are receivable until March 31.

Section 4: Any member failing to pay Society dues shall be removed from the membership roll of this Society on March 31 and will no longer receive newsletters or other benefits of Society membership.

Section 5: Anyone joining after September 15 will retain membership for the next calendar year.

Section 6: Honorary Life memberships may be conferred upon adult individuals who have contributed significantly to the development and improvement of the genus Hemerocallis, or who have rendered honorable and distinguished service to the Society. Upon the signed recommendation of one member, seconded by another member and with written prior notice, by a two-thirds vote of the members at the September meeting, an Honorary Life membership may be conferred, and shall include all the usual privileges of membership.

Article IV - Officers

Section 1: The officers of the Richmond Area Daylily Society shall consist of a President, Vice President, Treasurer, and Secretary. These officers shall perform the duties prescribed by these Bylaws and by the parliamentary authority adopted by the Society.

Section 2: At the regular meeting held in July, a nominating committee of three members, including the Chairman, shall be nominated and elected by the members. It shall be the duty of this committee to nominate candidates for the offices to be filled. The slate of officers shall be presented at the August meeting and published in the newsletter thirty days prior to the Annual Meeting where elections are held. At the September Annual Meeting, nominations may be made from the floor. No member's name shall be placed in nomination without that person's consent to serve if elected.

Section 3: Officers shall be elected by ballot at the Annual Meeting in September. The new officers will assume their responsibilities at the January meeting.

Section 4: The officers shall be elected to serve for one year. No member shall hold more than one office at a time. No more than one person may be elected to any office from the same household or family.

Section 5: The President shall:
Preside at all of the Richmond Area Daylily Society meetings in such a manner as to promote the best interests of the Society as a whole and in accordance with the Bylaws and the parliamentary authority of the Society.
Call special meetings (with notice as required in Article V, Section 4) when deemed advisable or upon written request of five members of the Richmond Area Daylily Society.
Serve as ex-officio member of all committees, except the nominating committee.
Appoint a Parliamentarian to advise the President, officers, committees, and members on matters of parliamentary procedure.
Appoint a Membership Chairman.
Appoint an Editor for the newsletter.
Appoint a committee chairman only when a committee is unable to elect a chairman (except the Nominating Committee).
Submit a written annual report, relative to the duties and responsibilities of the position, to be presented at the annual meeting.
Present Treasurer's report in the absence of the Treasurer.
Perform such other duties as are normally incidental to the Office of President, as prescribed by the parliamentary authority adopted by the members, for one term or until the beginning of their successor's term.

Section 6 The Vice President shall:
Perform all duties of the President in the absence, disability or resignation of the President. Fulfilling an unexpired term shall be counted as an elected term.
Serve as the chairman of the Program Committee, to develop a schedule of meetings and events, and to submit the RADS schedule to the AHS for publication in the Daylily Journal.
Submit a written annual report, relative to the duties and responsibilities of the position, to be presented at the annual meeting.
Perform such other duties as are normally incidental to the Office of Vice President, as prescribed by the parliamentary authority adopted by the members, for one term or until the beginning of their successor's term.

Section 7: The Secretary shall:
Keep an accurate record of all meetings of the Richmond Area Daylily Society, and submit these records to the Editor of the newsletter for publication.
Submit the meeting minutes to the general membership at each following meeting for approval.
Keep an independent record of all approved minutes, which will become the property of the Richmond Area Daylily Society and will be transferred to the incoming Secretary.
Maintain a separate list of all approved motions of the club.
Conduct such correspondence as may be required for the Society by the President, the Executive Board, or by a vote of the membership.
Maintain a list and location of club property and provide it as needed for others to conduct the business of the club.
File, at the last regular scheduled meeting of the year, a tally of incoming and outgoing communications.
File with the minutes of the last scheduled meeting, a copy of each annual report submitted by officers and committee chairpersons and ensure that appropriate records and documents are immediately passed on to the newly elected officers.
Perform such other duties as are normally incidental to the Office of Secretary, as prescribed by the parliamentary authority adopted by the members, for one term or until the beginning of their successor's term.

Section 8: The Treasurer shall:
Receive all Richmond Area Daylily Society funds and deposit them into an approved bank or financial institution.
Disburse such funds as authorized by the Society.
Disburse a maximum of $200 when authorized by the President
Provide an itemized financial report of all income and disbursements at every regular business meeting (or)
Provide a written report to the President, to be given at the regular meetings upon the absence of the Treasurer at a meeting.
Be the chairman of the Finance Committee.
Perform such other duties as are normally incidental to the Office of Treasurer, as prescribed by the parliamentary authority adopted by the members, and to ensure that the Society is in compliance with current U.S. IRS rules and regulations.

Article V - Meetings and Quorums

Section 1: The Richmond Area Daylily Society shall hold at least 4 scheduled business meetings a year.

Section 2: Regular meetings will be held on the second Saturday of each month and/or as decided by the membership.

Section 3: The regular meeting held on the second Saturday of September shall be known as the Annual Meeting and shall be for the purpose of electing officers, receiving reports of officers and committees, and for any other business that may arise.

Section 4: Special meetings may be called by the President and shall be called upon the written request of five members of the Society. The purpose of the meeting shall be stated in the call. Except in cases of emergency, at least four (4) weeks notice shall be given.

Section 5: A quorum shall consist of at least fifteen (15) current members present at any meeting in order to conduct business at a general meeting.

Section 6: A simple majority vote will suffice to conduct affairs of the Richmond Area Daylily Society at a general meeting.

Article VI - Standing Committees

Section 1: The Standing Committees shall be: Finance, Programs, and Plants for Members. All committees are responsible to and shall report to the members of the club.

Section 2: There shall be a Finance Committee and it shall consist of the Treasurer (Chairman), the Vice President, and one other member appointed by the President from volunteers of the Society. It shall plan the budget and recommend to the club such expenditures as the Committee deems expedient. No expenditure shall be incurred in excess of $200.00 on a non-budgeted item without membership approval at a regular or called meeting. The Finance Committee may, from time to time, submit amendments to the budget for the current fiscal year, which may be adopted by a majority vote. No contract binding on the membership shall be signed without membership approval.

Section 3: There shall be a Program Committee. The Vice President (Chairman) shall appoint promptly after the annual meeting, from volunteers of the Society, three or more members whose duty it shall be to plan the annual program of the Society. The Program Committee shall have the responsibility for regular meeting programs, club trips, shows and exhibitions, speakers, and the annual banquet. A list of these members shall be provided at the October meeting to allow long-range preparation for the upcoming year.

Section 4: There shall be a Plants for Members Committee. The Plants for Members Committee shall consist of at least three members of the club that have extensive knowledge in growing daylilies. Committee members must be approved by a majority vote of the club at the meeting which they assume their responsibilities. The committee shall be empowered to research, select, and purchase plants. The committee shall, from volunteers of the Society, select the growers, oversee the planting, digging, and division of Plants for Members plants prior to the auction meetings. The committee shall have the authority to determine fair and reasonable reimbursement for a member growing club plants. The committee shall file a written report with the Secretary and report to the members of the club at each meeting following purchase or sale of Plants for Members plants.

Section 5: Other Committees, both special and standing, may be authorized, created, appointed, and dismissed, from time to time as deemed necessary, only by vote of the members of the club. Every committee shall report to the members.

Section 6: When not specifically stated elsewhere, each committee shall elect its own chairman.

Article VII - Parliamentary Authority

Section 1: The rules contained in the current edition of "Robert's Rules of Order Newly Revised" shall govern the Society in all cases to which they are applicable and in which they are not inconsistent with these Bylaws and any special rules of order the Society may adopt.

Article VIII - Amendment of Bylaws

Section 1: Amendments to these Bylaws may be made by a two-thirds vote at any meeting, provided such amendments have been submitted in writing at the previous meeting and subsequently published in the newsletter.

Article IX - Plants for Members

Section 1: The Plants for Members program of the Richmond Area Daylily Society is designed to allow members the opportunity to purchase at auction, newer and better cultivars for their own collections at considerable savings. The program also provides the membership with valuable information on hybridizers, their introductions, and their cultivars' suitability for our region. The Plants for Members program of the Richmond Area Daylily Society shall be self-perpetuating and self-supporting.

Section 2: The Plants for Members program of the Richmond Area Daylily Society shall be managed by the Plants for Members Committee. The committee shall be empowered to research, select, and purchase plants within the budget set forth for Plants for Members. The committee shall, from volunteers of the Society, select the growers, oversee the planting, digging, and division of Plants for Members plants prior to the auction meetings. The Plants for Members Committee is responsible for all aspects of this program, whether stated or not.

Section 3: Members who accept responsibility for growing plants purchased by The Plants for Members Committee shall demonstrate that they understand and consent to all covenants of this program, by virtue of taking possession of said plants.

Section 4: To be eligible for consideration as a grower for the Plants for Members program, a member must have paid his current RADS dues, have attended at least 4 meetings in the last twelve months, and demonstrated skill in cultivating daylilies.

Section 5: Members who accept the responsibility of growing Plants for Members plants should provide the best growing conditions to ensure an atmosphere that fosters increase. After the Plants for Members plants have been grown for two years, the entire plant, including increase, shall be returned to the Richmond Area Daylily Society for auction.

Section 6: To be eligible to participate in a Plants for Members auction, a member must have paid his current RADS dues and be a member in good standing.

Section 7: All plants and increase shall remain the property of the Richmond Area Daylily Society. The grower may not set seed on any club plants. Should the grower leave the club for any reason or be unable to return the plants as scheduled, the grower agrees to allow members of the Plants for Members Committee to retrieve said plants.

Section 8: All plants shall be sold to the club members without reservation.
